SANDSTORM GOLD ROYALTIES SHAREHOLDERS APPROVE ACQUISITION OF NOMAD ROYALTY COMPANY

VANCOUVER, BC, Aug. 9, 2022 /CNW/ - Sandstorm Gold Ltd. ("Sandstorm Gold Royalties", "Sandstorm" or the "Company") (NYSE: SAND) (TSX: SSL) is pleased to announce that at its special meeting of shareholders held earlier today (the "Meeting"), the Company's shareholders approved the resolution for the issuance of common shares of Sandstorm ("Sandstorm Shares") in connection with the arrangement (the "Resolution") whereby Sandstorm will acquire all of the issued and outstanding common shares of Nomad Royalty Company Ltd. (NYSE:NSR) (TSX:NSR) ("Nomad") at an exchange ratio of 1.21 Sandstorm Shares for each common share of Nomad (the "Arrangement"). The Resolution was approved by approximately 99% of votes cast by Sandstorm shareholders at the Meeting. Detailed voting results for the Resolution are as follows:

In addition to the approval by Sandstorm shareholders, Nomad shareholders approved the proposed Arrangement at a special meeting of Nomad shareholders held today.

Timing of Completion

Sandstorm announced on July 27, 2022, that the Company had received all regulatory approvals required to complete the Arrangement. The closing of the Arrangement remains subject to final court approval, which Nomad intends to seek from the Superior Court of Québec on August 12, 2022. Subject to court approval being obtained and the other conditions to closing being satisfied or waived, the Arrangement is expected to be effective on or about August 15, 2022.
