("McCoy" or "the Corporation") (TSX: MCB) today announced that McCoy has formed a Strategy and Capital Allocation Committee of independent members of the Board of Directors of the Corporation ("the Committee"), comprising Mr. Alex Ryzhikov (Chair of the Committee), Ms. Katherine Demuth, Mr. Cory Janssen and Mr. John Walker. The mandate of the Committee is to, among other things, assist the Corporation in executing on its Board approved strategic plan that aims to further improve the Corporation's full-cycle returns on invested capital through a range of organic and inorganic initiatives.
In conjunction with the formation of the Committee, the Corporation's Board of Directors approved a Directors' Performance Share Unit plan ("the Plan") for its independent directors to promote alignment with the longer-term interests of the Corporation and its shareholders. The Plan is cash settled and contains a payout multiplier of up to four times, based on total shareholder return on the common shares of the Corporation. With his appointment to the Committee, the Chair of the Committee was awarded Performance Share Units vesting December 31, 2025, with a maximum payout multiplier of four times triggered if the Corporation's 20-day volume weighted average price as at December 31, 2025 exceeds $4.00 per share.
