THIS NOTICE CONTAINS IMPORTANT INFORMATION OF INTEREST TO THE REGISTERED AND BENEFICIAL OWNERS OF THE NOTES (AS DEFINED BELOW). IF APPLICABLE, ALL DEPOSITARIES, CUSTODIANS AND OTHER INTERMEDIARIES RECEIVING THIS NOTICE ARE REQUESTED TO PASS THIS NOTICE TO SUCH BENEFICIAL OWNERS IN A TIMELY MANNER.

£184,304,000.00 Class B Notes due 2058 (ISIN: XS1915119215),

£1,791,439,000.00 Class X Notes due 2058 and

£168,382,873.51 Retention Note due 2058

(the "Noteholders" and the "Notes", respectively)

THIS NOTICE IS IMPORTANT AND REQUIRES THE IMMEDIATE ATTENTION OF NOTEHOLDERS.

We refer to the note trust deed dated 11 December 2018 between the Issuer and Citicorp Trustee Company Limited as note trustee (the "Note Trustee") (as amended, supplemented and restated from time to time, the "Note Trust Deed").

NOTICE IS HEREBY GIVEN to Noteholders that, the Issuer applied for and has been granted an extension for the approval and filing of the annual financial statements of the Issuer from 30 September, 2022 to 30 December 2022 with Companies House. This extension was required as a result of a tight timeframe to fit in the audit, which includes completion of a valuation report by a third party. Contingency time has been planned to ensure the audit is of sufficient quality, but a number of queries raised have taken longer than expected to gather evidence and information from all parties.

As a result, the Issuer is unable to comply with its obligation under Clause 2(a) of Schedule 5 of the Note Trust Deed to deliver to the Note Trustee, the Registrar and the Principal Paying Agent two copies of its audited financial statements no more than 180 days after the end of the relevant financial year, being 31 March 2022. The audited financial statements of the Issuer are expected to be finalised and provided to the Note Trustee, the Registrar and the Principal Paying Agent within the extended filing deadline granted by Companies House.
