Vancouver, British Columbia--(Newsfile Corp. - January 18, 2022) - CVR Medical Corp. (TSXV: CVM) (OTC Pink: CRRVF) ("CVR Medical" or the "Company" or "we") a Canadian listed and US based healthcare company in the medical device market is pleased to announce a non-brokered private placement (the "Offering") and debt settlement subject to regulatory approval by the TSX Venture Exchange.
The Offering will consist of approximately 6,250,000 units at a market price CDN$0.03 per unit for gross proceeds of up to CDN$150,000, subject to approval by the TSX Venture Exchange (the "Exchange") upon acceptance of the Company's application for a discretionary waiver of the $0.05 minimum pricing requirement. Pursuant to the Offering, each unit will consist of one common share of the Company and one transferable common share purchase warrant exercisable to acquire an additional common share of the Company for a term of five years from issuance at a price of $0.12 per share. The proceeds from the Offering will be used for the day to day operations, reduction in loans for related filings fees and expenses to maintain the Company's filings and reporting obligations. In addition, and subject to Exchange approval, the Company is also proposing to settle CDN$125,000 in outstanding debt with the issuance of common shares, also at the Offering price of CDN$0.030 per share. The debt due relates to Attorney Fees for IP filings and protections. These actions are necessary steps in relaunching operations under new leadership, with the ultimate goal of commercializing the Carotid Stenotic Scan device.
The common shares and warrants will be subject to a four month hold period under applicable securities laws in Canada and the rules of the Exchange. The Offering may be closed in one or more tranches, the first tranche is expected to close on immediately following conditional approval of the Exchange, subject to customary closing conditions, including the approval of the Exchange.
